General Information
The Terms and the relationship between you and ZED will be governed by the laws of State of Florida, United States of America without regard to its conflict of law provisions. The failure of ZED to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision to the fullest extent permitted by law, and the other provisions of these Terms remain in full force and effect. ZED USA Corp is a company organized and existing under the laws of the State of Florida, United States of America whose registered office is at 2100 Salzedo Street, Suite 200, Coral Gables, FL 33134
These Terms shall be construed and interpreted in accordance with the law of the State of Florida, United States of America, which shall govern these Terms and any controversy or claim arising out of or relating to the Terms or the use of the Services, without regard to conflict of laws principles.
Jurisdiction
Each User irrevocably submits to the exclusive jurisdiction of the courts of Miami-Dade County, Florida, United States of America, in connection with any action or proceeding relating in any way to these Terms or the use of the Services.
Each User irrevocably waives, to the fullest extent permitted by applicable law, any objection that they may now or hereafter have to the laying of venue of any proceeding brought in the courts of Miami-Dade County, Florida, United States of America.
Each User irrevocably waives, to the fullest extent permitted by applicable law, any claim that any proceeding should be dismissed or stayed by reason, or pending the resolution, of any action or proceeding commenced by the User relating in any way to these Terms or the use of the Services, whether or not commenced earlier
WAIVER OF RIGHT TO TRIAL BY JURY. EACH OF THE PARTIES IRREVOCABLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY RIGHT TO TRIAL BY JURY OF ANY CLAIM, DEMAND OR CAUSE OF ACTION RELATING IN ANY WAY TO THE TERMS OR THE USE OF THE SERVICES, WHETHER SOUNDING IN CONTRACT OR TORT OR OTHERWISE, AND AGREES THAT ANY PARTY MAY FILE A COPY OF THIS SECTION WITH ANY COURT AS EVIDENCE OF THE WAIVER OF ITS JURY TRIAL RIGHTS.
